as it considered company case No.
11648/2002 and in order to pass its decision, took into consideration
the following:The legal proceedings are in compliance with Article 489 at al. of the Civil Proceedings Code on the authority of the application in compliance with Article 6, Article 17 and Article 18 of the Law on Legal Entities with Non-Profit Designation (State Gazette No. 81 of 6 October 2000). The case was constituted on the grounds of the application of the Executive Board of an Association titled BULGARIAN AMERICAN STUDIES ASSOCIATION, requesting its entry into the special register of legal entities with non-profit designation in the court. Based on the collected written evidence the court takes for granted the following factual and legal situation: The conducted constituent assembly of the association is documented with the meeting records, making a unanimous decision of constituting a legal entity with non-profit designation - Association for accomplishing activities for the benefit of individuals; of adoption of a Charter, of election of executive agencies. Based on this written evidence the court came to the following conclusions: The application is legitimate and ought to be ratified. There is an apparent decision made of constituting a legal entity with non-profit designation, founded by 39 physical persons. The adopted title ought to be allowed in this wording, since it does not coincide with the title of any other organization, already entered into the registers - Article 7 of the Law on Legal Entities with Non-Profit Designation. The Charter of the association contains definitions regarding all circumstances that need to be entered, as indicated in Article 18 and Article 20 of the law. The goals the association sets, identify it as an organization accomplishing activities for the benefit of individuals. The goals do not fall into the category of those prohibited by the law or the Constitution of the nation. On account of all this, as all circumstances subject to entry into the registers are present, and as the court presumed that their entry is allowed, on the grounds of Article 496 of the Civil Proceedings Code, and related to Article 1, paragraph 6, and Article 18 of the Law on Legal Entities with Non-Profit Designation, THE SOFIA MUNICIPAL COURT DECIDED:
To ENTER into the register of the legal entities with non-profit designation an Association titled: BULGARIAN AMERICAN
STUDIES ASSOCIATION
with a seat and executive address the City
of Sofia, Sredets Municipality, Boulevard Tsar Osvoboditel 15, The St.
Kliment Okhridski University of Sofia, Floor 5, Office 161,With the goals of: Supporting the scientific and academic activities of the Bulgarian American Studies scholars in developing spiritual values, building civic society and promoting education, science and culture. The means through which the association shall achieve its goals are: Forming a positive public attitude towards the activities of the Bulgarian American Studies scholars in the development and recognition of spiritual values, civic society, education, science and culture, voicing opinions and positions and providing assistance for the scientific and academic institutionalization of the Bulgarian American Studies scholars, organizing training and conducting workshops on the problems of American Studies, as well as for the development of spiritual values, civic society, education, science and culture in Bulgaria and the USA, leading initiatives of the national government and public agencies and non-government organisations for the development and institutionalization of spiritual values, civic society, education, science and culture and for the social integration and personal achievements of the Bulgarian American Studies scholars in Bulgaria, materializing international cooperation with congenial organizations. The association is not subject to duration limitations. The Association is constituted to accomplish activities for the benefit of the individuals. The Association has the following subject areas of activity: Research, designing and participating in national and international projects. Educational, publishing, informational and consultancy activities. The rules of emergence and termination of membership are determined by Articles 9 - 10 of the Charter.
